Merger Control in Greece: The Hellenic Competition Commission Prohibited a Transaction for the First Time
In the October 2025 issue of CEE Legal Matters, Spyros Alexandris, partner at Bahas, Gramatidis & Partners, and Yanis Nassiaras, junior associate, analyse a landmark development in Greek competition law: the first decision of the Hellenic Competition Commission (HCC) to prohibit a notified concentration.
The case concerned the proposed acquisition of DELTA by ALPHABET EDUCATION S.A., two leading providers in the Greek private vocational education market. Following an in-depth Phase II investigation under Law 3959/2011, the HCC concluded that the transaction would create a dominant – or even super-dominant – market position and significantly impede effective competition.
The authority ultimately rejected the remedies proposed by the notifying party and, through decision no. 887/2025, prohibited the transaction.
